Terms and Conditions

These Terms and Conditions govern your access to and use of the Gridrive website, the Gridrive Excel add-in, and related services provided by Gridrive, Inc., a Delaware corporation (together, the "Services").

By accessing or using Gridrive, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

Eligibility and Accounts

  • You may use Gridrive only if you can form a binding legal agreement and your use complies with applicable law.
  • You agree to provide accurate account information and keep it reasonably up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs under your account.
  • You must notify us promptly if you believe your account has been compromised or used without authorization.

License and Permitted Use

Subject to these Terms, Gridrive grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal use. This license does not give you ownership of the Services or any Gridrive intellectual property.

Acceptable Use

  • You may not use Gridrive in violation of any law, regulation, or third-party right.
  • You may not attempt to reverse engineer, copy, resell, interfere with, or disrupt the Services except to the extent such restriction is prohibited by law.
  • You may not upload, submit, or transmit malicious code, harmful content, or data you do not have the right to use.
  • You may not use the Services to attempt unauthorized access to systems, accounts, or data.
  • You remain responsible for how you use outputs, analyses, and recommendations generated by the Services.

Customer Data and AI Features

You retain your rights in the spreadsheets, workbook data, prompts, model states, and other content you submit to Gridrive ("Customer Data"). You grant Gridrive the rights necessary to host, process, transmit, analyze, and otherwise use Customer Data solely to operate, maintain, improve, and support the Services in accordance with these Terms and our Privacy Policy.

Some Gridrive features use AI models and related tooling to analyze workbook-related data and generate outputs. You acknowledge that AI-generated outputs may be probabilistic, may contain errors or omissions, and should be reviewed by a human before being relied on for business, financial, legal, accounting, or compliance decisions.

Certain Gridrive functionality, such as precedent and dependent tracing, may run locally in Excel. Other features, including AI-powered analysis and saved model states, may require Customer Data to be transmitted to and stored by Gridrive or its service providers as described in the Privacy Policy.

We do not use Customer Data to train, fine-tune, or improve any AI or machine learning models, whether our own or those of any third-party provider. Any broader use of Customer Data — such as to produce benchmarks or analytics — is only ever performed on aggregated and de-identified data as described in the Aggregated and De-Identified Data section below.

Aggregated and De-Identified Data

We may collect, use, and derive aggregated and de-identified data from Customer Data for purposes of operating, improving, and developing our services, including creating new features, products, industry benchmarks, and internal analytics.

"Aggregated and De-Identified Data" means data that has been processed to remove identifiers such that it cannot reasonably be used to identify Customer, its projects, or any individual, directly or indirectly.

We will not: (i) disclose Customer-specific data to third parties, or (ii) use Customer Data in a manner that would allow identification of Customer or its proprietary project information.

For clarity, all Customer Data remains the property of the Customer, and nothing in this section grants us rights to use identifiable Customer Data beyond what is necessary to provide the services.

Intellectual Property

Gridrive and its licensors own all rights, title, and interest in and to the Services, including the software, design, branding, documentation, and all related intellectual property rights. Except for the limited license expressly granted above, no rights are granted to you.

Feedback

If you provide suggestions, ideas, feedback, or feature requests about Gridrive, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without compensation or obligation to you.

Availability, Changes, and Beta Features

We may update, modify, suspend, or discontinue any part of the Services at any time. Features may change over time, and some features may be marked as beta, preview, or early access. Those features may have limited support, may change more frequently, and may be subject to additional risks.

Termination

We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms, created risk or harm to us or others, or if we are required to do so by law. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

Fees and Paid Features

Some Gridrive features may be offered for free, while others may require a paid plan in the future. If we offer paid features, we will provide pricing and billing terms at the time of purchase or activation. Unless otherwise stated, fees are non-refundable except as required by law.

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, share, and protect personal information.

Disclaimers and Limitations of Liability

No Warranties

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Gridrive disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Limitation of Liability

To the maximum extent permitted by law, Gridrive and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to your use of the Services. To the maximum extent permitted by law, Gridrive's aggregate liability for claims arising out of or related to the Services will not exceed the greater of one hundred U.S. dollars (US$100) or the amount you paid to Gridrive for the Services in the twelve months before the event giving rise to the claim.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and may provide additional notice where appropriate. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.
